Terms and conditions

Effective October 2, 2026

These terms are between you (or the organization you represent) and Vibe Cohort LLC, a Delaware limited liability company at 2810 N Church St, #229448, Wilmington, DE 19802, United States ("we" or "us"). They govern your use of CAIObarn and its related services. By using the service, you agree to these terms. You must be at least 18 and authorized to act for your organization.

1. The service

CAIObarn is a workspace for Chief AI Officers and their teams to organize client engagements, discovery, frameworks, meetings, priorities, and AI-assisted analysis and reports. Features and availability may change. We may suspend access for security, abuse, or nonpayment, with notice where practical.

2. Accounts and workspaces

Keep your account credentials secure and provide accurate information. Workspace owners and administrators control invitations, access, and billing. You are responsible for your authorized users and for ensuring each client engagement and its information is used lawfully. Do not access another organization’s workspace without permission.

3. Your content and confidentiality

You retain ownership of the documents, notes, transcripts, client data, and other material you upload or create ("Your Content"). You grant us the limited right to host, process, and transmit it solely to operate and provide the service, including the AI features you choose to use. You are responsible for obtaining necessary rights and consents before uploading third-party or personal data. We do not claim ownership of Your Content or a right to sell it. You should not use the service to store information you lack permission to process.

Workspace access is governed by your team settings. An "eyes only" designation excludes marked notes and meetings from automated report and presentation generation, but does not replace your own access-control and confidentiality obligations. See our privacy policy for more.

4. AI-assisted output

AI-generated findings, stakeholder suggestions, scores, summaries, reports, and recommendations can be incomplete or inaccurate. They are drafts for professional review, not legal, financial, security, or other regulated advice. Verify sources, calculations, and permissions before relying on or sharing an output. Similar outputs may be generated for other users; you retain responsibility for decisions you make.

5. Plans, payments, and changes

The Free plan and paid plan limits are shown on our pricing page. Paid plans renew monthly unless canceled. Paddle handles checkout, payment processing, taxes, and the payment portal; applicable charges and taxes are shown at checkout. Owners and administrators may manage the subscription. Upgrades and downgrades take effect immediately with prorated charges or credits as presented by the payment provider. Cancellation stops renewal and leaves your paid plan active until the end of its current billing period; then the workspace moves to Free. If a downgrade exceeds plan limits, extra engagements may become read-only until an owner chooses which remain active. Fees already paid are generally nonrefundable except where required by law or the payment provider’s applicable terms. We will notify you of material pricing changes before they apply to your next renewal.

6. Acceptable use

Do not use the service to violate law or others’ rights, upload malware, attempt unauthorized access, evade usage limits, scrape the platform, or disrupt service for others. You may not reverse engineer or resell the service except where applicable law permits. We may remove unlawful content or restrict access to protect the platform.

7. Our intellectual property

We retain rights in the CAIObarn software, design, trademarks, and provided templates. Subject to these terms and your plan, we grant you a limited, nonexclusive right to use the service for your internal business and authorized client work. This does not transfer ownership of the platform or Your Content.

8. Availability and liability

We aim to keep the service available but cannot guarantee uninterrupted or error-free operation. To the extent permitted by law, the service is provided as available without implied warranties. Neither party is liable for indirect or consequential losses; our total liability arising from the service is limited to fees you paid for the service in the twelve months before the event giving rise to a claim. These limits do not apply where prohibited by law or to liability that cannot legally be excluded.

9. Termination and data

You may stop using the service and cancel a paid subscription through the payment portal. We may terminate access for material breach after reasonable notice where appropriate. When access ends, contact us promptly to request your data or deletion; legal, security, and backup retention requirements may apply. The privacy policy explains data handling and your rights.

10. Changes and disputes

We may update these terms; material changes will be communicated through the service or by email before they take effect where practicable. Continued use after the effective date means you accept the updated terms. Delaware law governs these terms except where mandatory local law applies. Contact us first to try to resolve a dispute informally.
